Cognex to buy RealSense for ~$500M cash in robotic perception push
Cognex announced a definitive agreement to acquire RealSense, the depth-sensing and robotic-perception company originally founded at Intel, for approximately $500 million in cash, with closing expected in Q4 2026.
ROBOTICS desk — industrial machine-vision giant Cognex is buying the depth stack robots actually see with, not just factory barcodes. A depth camera measures how far things are, which is what a robot needs in order to reach and move.
What Cognex says it is buying. RealSense makes depth-sensing cameras and vision technology for robotic perception and Physical AI. A depth camera measures how far things are, not only how they look. Robotic perception is the job of turning that measurement into a place a robot can act. Physical AI, in this release, means software that has to work on a machine in the real world, not only answer a question on a screen. Cognex calls RealSense the market leader in that field. Market leader is Cognex’s phrase.
Where RealSense came from, still the release. Intel founded RealSense in 2014. The company was spun out in 2025. A spin-out means it left Intel and became its own company. The release does not print a 2025 sale price, or the terms of that split.
What the cameras are used for, as Cognex states it. RealSense works in 3D robotic perception across fixed-arm robots that use a camera to guide a grasp, autonomous mobile robots that drive themselves, quadrupeds, and humanoids. A quadruped is a four-legged robot. A humanoid has a human-like body.
The sales figure is Cognex’s expectation, not an audit. Cognex expects RealSense to generate $80 million to $90 million of revenue in 2026. That is more than 50 percent growth over the prior year, so this year’s sales are expected to be more than one and a half times last year’s. The page does not print last year’s dollar figure.
The market size is a company estimate. Cognex says the deal adds a robotic perception market estimated at $600 million today and expected to grow more than 25 percent a year to approximately $1.6 billion by 2030. Both figures, and the growth rate, are Cognex’s estimates of the wider market. They are not a forecast this desk built, and they are not RealSense’s own sales. The $80 million to $90 million line is the expected 2026 revenue of the company being bought. The $600 million and $1.6 billion lines are the market around it.
When the purchase is supposed to finish. Cognex expects to close in the fourth quarter of 2026, subject to customary closing conditions. Customary closing conditions are the usual steps in a purchase agreement before the money changes hands. The release does not name a regulator, and it does not say a government has approved the deal. This filing does not invent an approval. Expected to close is not closed. On 22 Sep 2026 the purchase is an agreement.
What leaves before closing. Prior to closing, RealSense will spin its Facial Authentication product line out into an independent company, including the functions that line needs to keep growing in the biometrics market. Biometrics, here, means recognizing a person, in this case by the face. Facial authentication is a different product from the depth cameras robots use to see a room. The sentence is a plan. The spin-out is not reported as finished on this announcement.
What Cognex expects to pay people to stay. Cognex expects a three-year cash retention program of $56.5 million at target for RealSense employees, subject to performance modifiers. At target means the planned cash if the goals are hit. Performance modifiers can move that number. The same sentence says Cognex expects to grant restricted stock units valued at approximately $50 million under its existing 2023 Stock Option and Incentive Plan. A restricted stock unit, or RSU, is a promise of company stock an employee receives later, usually for staying. The dollar figure is the value. How many shares that is depends on the stock price on the grant date. These are terms in the agreement. They are not checks, or shares, this desk has seen issued.
Named voices, as color only. Matt Moschner, president and chief executive of Cognex, called the deal a strategic expansion into robotic perception and said the combination is meant to span industrial ID, 2D and 3D measurement, 3D depth perception, and robotic navigation. Nadav Orbach, chief executive of RealSense, said robots cannot act intelligently in the physical world if they cannot perceive it first, and he called that mission the Visual Cortex of Physical AI. Dennis Fehr, chief financial officer of Cognex, said RealSense is expected to be strongly accretive to Cognex’s growth. Accretive, in that sentence, means he expects the added business to lift the company’s growth rate. He also said that over time he expects the business to fit Cognex’s through-cycle framework, including attractive adjusted EBITDA margins. EBITDA is a profit figure before interest, taxes, and some non-cash charges. Adjusted means the company has taken items out. The release does not print a margin percent. A forecast is not a result.
The piece on 22 Sep is the agreement.
Plain English for the rest of the card: depth camera = a camera that measures distance, not only color. robotic perception = using that measurement so a robot can act. Physical AI = software that has to work on a machine in the real world. spin-out = a product line, or a company, set up on its own. customary closing conditions = the usual steps before a signed deal becomes a purchase. Q4 2026 = the fourth quarter of 2026, October through December. at target = the planned cash if performance goals are hit. RSU = restricted stock unit, a promise of stock later. The share count depends on the price on the grant date. biometrics = recognizing a person. Here, the face product that is supposed to leave before closing. Nasdaq: CGNX = Cognex’s ticker. This filing is the 22 Sep agreement. It is not a closed deal.
