NVIDIA agrees to acquire Hugging Face for about $12.9B
3 Sep 2026: NVIDIA published that it agreed to acquire Hugging Face for $12,930,300,000. An SEC 8-K dated the same window breaks that into ~$11.9B to stockholders plus up to ~$1.0B employee retention, with close targeted for H1 2027 pending regulators. Company blog + 8-K are the primaries.
3 Sep 2026: Jensen Huang published “NVIDIA to Acquire Hugging Face” on NVIDIA’s blog. NVIDIA has agreed to acquire Hugging Face for $12,930,300,000. That dated company post is the filing event — an agreement announced, not a closed deal.
NVIDIA’s figures on the same page: Hugging Face hosts more than 18 million developers, more than 3 million models, more than 500,000 datasets, and more than 1 million applications; more than 200,000 companies use the platform. Those counts are NVIDIA’s.
NVIDIA blog: Hugging Face will remain an open platform. Developers will choose the models, frameworks, clouds, inference service providers, and computing platforms they want. “NVIDIA compute will not be required to build on or deploy through Hugging Face.”
NVIDIA: it has released more than 500 models and more than 250 open datasets on Hugging Face. Company claim.
SEC 8-K (earliest event 2 Sep 2026, filed 3 Sep): NVIDIA entered a definitive agreement. About $11.9 billion purchase price payable to Hugging Face stockholders, subject to certain adjustments, plus an equity-based retention program of up to about $1.0 billion for Hugging Face employees joining NVIDIA. Expected close in the first half of 2027, subject to customary conditions including required regulatory approvals.
The same 8-K: NVIDIA committed to keep Hugging Face’s platform open, including permitting upload and download of models and datasets of users’ choosing and support for other silicon vendors.
Clem Delangue, Hugging Face CEO, on LinkedIn and to CNBC: Hugging Face approached Jensen; the founders and the team are staying; NVIDIA committed to keeping the platform open, independent, and compute-agnostic. That is Delangue’s wording — not the NVIDIA blog’s.
A dated NVIDIA primary plus SEC 8-K confirm a ~$12.9B bid for the main open-model hub, with written commitments to stay multi-vendor. Deal size and open-platform pledge are company/SEC claims; close is still pending.
