Shield to buy Echodyne for $5.3 billion and raise $2.5 billion at a $28.8 billion valuation

Shield said on Thursday, Nov. 5, 2026, that it has entered a definitive agreement to acquire Echodyne Corp. in a deal valued at $5.3 billion, and that it is raising $2.5 billion to support the purchase, including $1 billion in Series H equity at a $28.8 billion post-money valuation.

Drones without radar are loud toys with cameras. Shield already sells the brains and the airframes; buying Echodyne adds the eyes that cue lasers, microwaves and interceptors. A $5.3 billion radar check, and a $28.8 billion valuation on the Series H that helps pay for it, is Wall Street pricing the counter-drone boom as a platform business, not a niche kit.

Shield entered a definitive agreement to acquire Echodyne Corp. The transaction is valued at $5.3 billion. Of that, $4.8 billion will be paid and issued at closing, and up to an additional $500 million is contingent on Echodyne meeting agreed performance targets. Contingent means that extra piece is paid only if those targets are hit. An agreement is a promise to buy. The companies have not closed it. Those figures are Shield's.

Shield is raising $2.5 billion to support the purchase. The raise has three pieces: $1 billion in Series H funding at a $28.8 billion post-money valuation, a $1 billion structured equity investment from funds managed by Blackstone, and $500 million in debt financing led by JPMorgan Chase Bank, N.A. as sole arranger. Post-money means the price after the new Series H equity is counted in. Structured equity sits between a plain stock sale and a loan. A sole arranger is the bank that organizes the debt. Those lines are Shield's.

Echodyne radars are built into hundreds of counter-drone and security systems used by defense, government, and commercial customers in more than 40 countries. Both companies expect triple-digit revenue growth this fiscal year. Triple-digit means a percentage increase of 100 or more. Those lines are Shield's.

The deal builds out Shield's Mission Systems business with software-defined radars for counter-unmanned aircraft systems, shortened to C-UAS. That is the work of spotting drones and stopping them. Echodyne designs compact solid-state radars using its patented Metamaterials Electronically Scanned Array technology, MESA. Solid-state means the beam is steered electronically, with no spinning dish. EchoShield is one of those radars. Those lines are Shield's.

Shield also builds Hivemind autonomy software, Aechelon simulation, and the V-BAT and X-BAT autonomous systems. Chief executive Gary Steele framed the company as three units: autonomy software, autonomous systems, and mission systems. Those lines are Shield's.

In September, Echodyne received a contract with a $250 million ceiling from Joint Interagency Task Force 401 to supply counter-drone radar to U.S. and allied forces. A ceiling is the most the contract can pay, not a check already cashed. That line is Shield's.

Gary Steele, chief executive of Shield, said: "We are building a new-generation defense technology company consisting of three fast-growing, high-margin, mutually supporting business units: autonomy software, autonomous systems, and mission systems." Eben Frankenberg, chief executive of Echodyne, said: "Shield shares our view that autonomous systems can only act on what they can sense, and superior sensors lead to superior systems and outcomes." Those quotations are theirs.

In plain terms, Shield agreed to buy Echodyne for $5.3 billion, with $4.8 billion due at closing and up to $500 million more if performance targets are met. To pay for it, Shield is raising $2.5 billion, and the Series H piece prices the company at $28.8 billion after the new equity. The purchase adds compact radar so Shield's drones and software can see the aircraft they are meant to counter. The agreement is signed. Closing is still ahead.
