Z.AI files ~$5B Hong Kong share placement and convertible bonds

13 Sep 2026: Beijing-based Z.AI Co Ltd (2513.HK, formerly Zhipu AI) published a Hong Kong exchange announcement for a new H-share placing and concurrent zero-coupon convertible bonds. The filing’s own figures total about US$2B (share placing gross ~HK$15.68B) plus about US$3.02B (bonds gross) — ~$5B package. Completion is still conditional.

13 Sep 2026: Z.AI Co., Ltd. / 北京智譜華章科技股份有限公司 (stock code 2513; H shares on HKEX) published a Hong Kong exchange announcement dated Hong Kong, 13 September 2026, for (1) placing of new H shares under general mandate and (2) a concurrent proposed issue of RMB 20.14 billion U.S. dollar settled zero-coupon convertible bonds due 2027. Press also calls the company formerly Zhipu AI. The Placing Agreement and the Subscription Agreement were signed 12 Sep 2026. That dated HKEX announcement is the filing event.
